Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the ApexGo ticketing platform, including the dashboard at dashboard.apexgo.co.uk, all managed club websites we host on your behalf, and the marketing site at apexgo.co.uk(collectively, the "Service"). The Service is operated by ApexGo ("ApexGo", "we", "us").
By creating an account, accessing the dashboard, or selling tickets through the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. The Service
ApexGo provides a hosted ticketing, memberships, and bar / point-of-sale platform for sports clubs and event organisers. The Service includes: a dashboard for managing fixtures, events, members and sales; consumer-facing pages on club subdomains and custom domains; payment processing via Stripe; and supporting features such as email broadcasts, reporting and an API.
We may add, remove, or change features at any time. Where a change materially reduces functionality you rely on, we will give reasonable notice via email or the dashboard.
3. Accounts
You must provide accurate information at signup, keep your password secure, and tell us immediately at support@apexgo.co.uk if you suspect your account has been compromised. You are responsible for all activity under your account, including activity by users you invite.
Each account is registered to an organisation. The person who creates the organisation acts as the initial Club Administrator and accepts these Terms on behalf of the organisation. They may invite additional users with appropriate roles.
4. Plans, fees and billing
The Service is offered on the plans listed at apexgo.co.uk/pricing: Starter (free), Essentials, Pro and Enterprise. Plan fees are billed monthly in advance via Stripe Subscriptions to the payment method you provide.
In addition to plan fees, ApexGo charges a per-transaction fee on each completed ticket or product sale (currently 1% + 10pper transaction). Stripe's own processing fees are separate and are deducted by Stripe from each payment before settlement.
Upgrades take effect immediately with prorated billing. Downgrades to a paid plan take effect at the end of the current billing period. Downgrades to Starter cancel your paid subscription at the end of the current period; you retain paid features until then.
If a payment fails we will retry per Stripe's standard schedule. Repeated failures may result in suspension of paid features (your data is retained for at least 30 days during suspension).
All fees are in pounds sterling (GBP) and exclude VAT unless stated otherwise. VAT will be added at the prevailing rate where applicable.
5. Refunds
Plan fees are non-refundable except where required by law. Per-transaction fees on refunded ticket sales follow our standard refund flow: where you refund a customer, we refund our 1% + 10p portion proportionally. Stripe's fixed pence component of card fees may not be refundable per Stripe's policy.
6. Your content and data
You own all data you upload to or generate through the Service, including event details, customer records, sales data, branding assets and content on your managed club website. You grant ApexGo a non-exclusive licence to host, copy, transmit and display that content for the sole purpose of operating the Service for you.
On termination, you may export your data via the dashboard or by request to support@apexgo.co.uk. We will retain your data for 30 days after termination, then delete it (except where retention is required by law, e.g. financial records under UK tax rules).
7. End customers and data protection
When supporters, members or customers of your organisation use the Service, you are the data controller for their personal data and ApexGo is your data processor. Our Privacy Policy at apexgo.co.uk/privacy describes how we handle that data.
You are responsible for: (a) having a lawful basis under UK GDPR for collecting and processing your customers' personal data through the Service; (b) providing your own privacy notice to your customers where required; and (c) responding to data subject requests from your own customers.
8. Acceptable use
You agree not to:
- use the Service to sell illegal goods or services, or for any unlawful purpose;
- attempt to access another organisation's data, accounts or systems;
- reverse-engineer, decompile or extract source code from the Service (except where this right cannot be limited by law);
- scrape, crawl or harvest data from the Service beyond what is permitted by our API;
- upload malware, viruses or other harmful code;
- impersonate any person or misrepresent your affiliation with an organisation;
- use the Service to send unsolicited bulk email (spam) in breach of UK PECR;
- resell, sublicense or white-label the Service to third parties without our written consent (this does not affect your right to operate your own managed club website under your branding).
9. Stripe and payment processing
Payments are processed by Stripe Payments Europe, Ltd. or another Stripe entity as applicable. By using the Service to accept payments you also agree to Stripe's Connected Account Agreement and Services Agreement. You must keep your Stripe Connect account in good standing; suspension or termination of your Stripe account may prevent payments through the Service.
10. Service availability
We aim to keep the Service available 24/7 but do not guarantee uninterrupted access. Planned maintenance will be announced where reasonably practicable. We are not liable for downtime caused by third-party providers (Stripe, DNS providers, our hosting infrastructure) or by force majeure events.
11. Suspension and termination
You may terminate your subscription at any time from /dashboard/settings/billing. Termination takes effect at the end of the current billing period for paid plans, and immediately for Starter accounts.
We may suspend or terminate your access immediately if: you breach these Terms; we are required to do so by law or a regulator; or your use of the Service poses a material risk to other users, our infrastructure, or third parties. We will give reasonable notice except where immediate action is required.
12. Intellectual property
The Service, including its software, design, brand and documentation, is owned by ApexGo. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. We grant no other rights by implication.
You retain ownership of your own brand assets (logo, colours, content) and the data you upload. You grant us a licence to use your name and logo to identify you as a customer of ApexGo (e.g. on our marketing site), which you can revoke in writing.
13. Warranties and liability
The Service is provided "as is". To the maximum extent permitted by law, we exclude all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not exclude or limit our liability where doing so would be unlawful, including for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.
Subject to the above, our total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) £100, or (b) the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, loss of profits, loss of business, loss of goodwill, or loss of data.
14. Indemnity
You agree to indemnify ApexGo against any third-party claims arising out of: (a) your content; (b) your breach of these Terms; (c) your breach of any law in your use of the Service; or (d) your data-controller obligations to your own customers.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email and via a banner in the dashboard at least 14 days before they take effect. Continued use of the Service after the change date constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that nothing prevents a consumer customer from bringing proceedings in their place of habitual residence where required by law.
